These Terms of Service / Terms of Use ("Terms") govern your access to and use of the Oasis Speech website (the "Site"), as well as certain online features, forms, and communications offered by Oasis Speech PLLC ("Oasis Speech," "we," "us," or "our"). Oasis Speech provides speech-language pathology services, including telehealth services, in Florida and Texas (and may expand to other jurisdictions over time).

BY ACCESSING OR USING THE SITE, YOU AGREE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.

We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting on the Site. By continuing to use the Site after changes are posted, you agree to the revised Terms.

1. Privacy Policy and HIPAA Notice

Our Privacy Policy explains how we collect, use, and share information and is incorporated into these Terms by reference. If you are a patient (or the parent/guardian of a patient), we may also provide a HIPAA Notice of Privacy Practices that describes how we use and disclose Protected Health Information (PHI) and your rights under HIPAA. Where applicable, HIPAA and state laws may provide additional protections.

2. Not Medical Advice; No Emergency Services

The Site Content is provided for general informational purposes only and is not medical advice. Using the Site does not create a clinician–patient relationship unless and until you complete our intake process and we confirm services.

IF YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM.

Do not use the Site, email, or text messaging to communicate urgent or emergency medical information.

3. Eligibility and Use by Minors

The Site is intended for individuals who are at least 18 years old. If you are under 18, a parent or legal guardian must use the Site on your behalf. Pediatric services require parent/guardian consent and participation through appropriate intake and consent processes.

4. Site and Content Ownership; Intellectual Property

The Site, and all text, graphics, logos, photographs, videos, audio, software, code, designs, and other content (collectively, the "Content") are owned by Oasis Speech or its licensors and are protected by intellectual property laws. All rights are reserved.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content for your personal, non-commercial use solely as permitted by these Terms.

Trademarks

Our names, logos, and service marks are trademarks of Oasis Speech. You may not use them without our prior written consent.

5. Acceptable Use and Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree you will not:

·         Use the Site in any way that violates any applicable law or regulation.

·         Attempt to gain unauthorized access to the Site, accounts, systems, or networks.

·         Use any robot, spider, scraper, crawler, or other automated means to access the Site without our prior written permission.

·         Interfere with or disrupt the Site or servers/networks connected to the Site.

·         Upload or transmit viruses, malware, ransomware, or other harmful code.

·         Post or transmit content that is unlawful, threatening, harassing, defamatory, obscene, or that infringes intellectual property or privacy rights of others.

·         Misrepresent your identity or provide inaccurate, incomplete, or outdated information.

·         Copy, reproduce, sell, resell, distribute, modify, reverse engineer, or create derivative works from the Site or Content without our prior written consent.

6. Forms, Accounts, and Patient Portal (TheraPlatform or Other Systems)

We may use third-party practice management, patient portal, or telehealth systems (for example, TheraPlatform) to support scheduling, intake, documentation, telehealth sessions, messaging, billing, and related functions ("Third-Party Systems").

If you create an account through a Third-Party System, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to promptly update information as needed.

Third-Party Systems may have their own terms and privacy practices. Your use of those systems is subject to the applicable third-party terms, in addition to these Terms.

7. Telehealth Terms

If you receive services via telehealth, you agree to participate from a private location when possible, to use a device and internet connection capable of supporting telehealth, and to follow clinical instructions and safety guidance provided by your clinician.

·         Telehealth services may not be appropriate for all conditions or situations.

·         Technology failures may occur; we will make reasonable efforts to reschedule or provide an alternative method when feasible.

8. Payments, Cancellations, and No Guarantee of Coverage

Fees, session lengths, cancellation policies, and payment terms may be presented on the Site, in intake paperwork, or in your service agreement. Insurance coverage is determined by your health plan, not Oasis Speech. Any coverage estimates are not guarantees of payment.

9. SMS/Text Messaging

If you opt in to receive text messages from Oasis Speech, your receipt and use of SMS communications are governed by our Privacy Policy, including the SMS Data Sharing and Messaging Terms and Conditions disclosures. Text messaging is not always secure; do not send sensitive medical details by SMS.

10. Links to Third-Party Websites and Content

The Site may contain links to third-party websites or resources. We provide links for convenience only and do not endorse third-party content. We are not responsible for third-party websites, services, content, or privacy practices. Your use of third-party sites is at your own risk.

11. Feedback and Submissions

If you submit comments, suggestions, testimonials, or other feedback to us, you agree it is non-confidential and you grant us the right to use it for any lawful purpose without compensation to you (unless otherwise required by law).

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OASIS SPEECH AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Oasis Speech and its owners, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Site; (c) your violation of any law; or (d) your infringement of any intellectual property or privacy rights of any third party.

15. Termination and Suspension

We may suspend or terminate your access to the Site (and any related accounts) at any time, with or without notice, for any reason, including if we believe you have violated these Terms. We will not be liable for any damages arising from such suspension or termination.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles, except where Texas law applies to services provided to Texas residents or as otherwise required by applicable law.

To the extent permitted by law, you agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts. If venue in Florida is prohibited by applicable law for a particular claim, then venue will be in an appropriate court.

17. Severability; Waiver; Assignment; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and delegate our obligations at any time. These Terms, together with the Privacy Policy and any additional policies or agreements posted on the Site, constitute the entire agreement between you and Oasis Speech regarding the Site.

18. Electronic Communications

We may communicate with you electronically (for example, by email, through a portal, by SMS if you opt in, or by posting notices on the Site). You agree that electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
